Abstract It is a common policy that the government provides subsidies to the enterprises for their innovations. However, because of the innovations of the enterprises in less developed area are subject to their own constraints, resulting in the local governments have to make rational choices about the form of innovation subsidies. Considering the absorptive and learning capacity of enterprise, this thesis brings in the allocation proportion coefficient of the Innovative investment to establish a three-stage game model; also this thesis will analyze the optimal manner for the governments of the underdeveloped areas to subsidy the university-industry cooperation. From the results, we will know: the governments in less developed area adopt these new policies will encourage the enterprises to increase innovation investments; with the free intellectual property protection policy, enterprises improve the absorptive and learning capacity and the social welfare increases; In contrast, when the government subsidies for innovative products, the different outputs are better than the investment of the innovative subsidy.
